Ofwat consults on the change of ownership of South Staffordshire Water

Ofwat today launched a consultation into the regulatory issues arising from the change of ownership of South Staffordshire Water plc.

In October 2007, Arcapita and its affiliates sold South Staffordshire plc to the Alinda Infrastructure Fund. Alinda Infrastructure Fund is managed and controlled by Alinda Capital Partners LLC, a US independent private investment firm specialising in infrastructure assets. South Staffordshire plc owns South Staffordshire Water plc, an appointed water company regulated by Ofwat.

On a change of ownership, Ofwat, in the interests of water consumers, looks to ensure that the new owner is fit and proper to own a regulated water company.

Ofwat is consulting on any regulatory issues arising from the ownership change. Ofwat also proposes a number of amendments in South Staffordshire Water's 'Instrument of Appointment' to ensure it is appropriately ring-fenced from the rest of the group.

Ofwat invites views on the issues discussed in this paper, including:
  • the capacity of Alinda Capital Partners LLC to be the owner of a regulated water business;
  • which entities should provide undertakings under Condition P of South Staffordshire Water plc's licence;
  • the implications of the proposed long-term financial structure;
  • the impact of these proposals on comparative competition; and
  • the adequacy of the proposed modifications to South Staffordshire Water plc's Appointment.

Respondents may also comment on any other issues relating to the acquisition that they consider are relevant.

Responses to this consultation paper are required by no later than 5pm on 4 April 2008.

1. The Water Services Regulation Authority (Ofwat) is the economic regulator of water and sewerage companies in England and Wales. It exercises its powers in a way that it judges will allow companies to carry out their functions properly, and finance them. Its duties include protecting the interests of consumers, wherever appropriate by promoting effective competition.
2. South Staffordshire Water plc is an appointed water undertaker, regulated by Ofwat. It is the fourth-largest of the 11 water-only companies in England and Wales. It supplies 500,000 homes and 36,000 business customers in a 1,500km2 area covering parts of Staffordshire, the West Midlands and Derbyshire.
